Letter to David Pinkney

Dear David,

Re: Luton Town Football Club

Further to my meeting with Mr John Mitchell in late May, conducted with LLSC and the Luton News, I would like to arrange a time to view and discuss the company management accounts. As you will
recall, John offered that both Trust In Luton and Loyal Luton Supporters Club (LLSC) could send in representatives in order to view the accounts by the end of June 2007 (he stated they would be ready by then) and that someone from the club would be on hand to answer questions that arise. This was done in the spirit of transparency and John said this was the best way of clearing up all questions relating to income and expenditure for the company. This offer was reported in the Luton News. I understand that LLSC has tried to contact John to arrange a date, but this is as far as we’ve heard. As we are now in August, we would like to clear this matter up so that we may report back to our respective members and confirm to the Luton News that John’s promises have all been honoured. I think it would also be very useful if these accounts could be sent to Les Miller and I in advance of a meeting as this would then be the best use of your teams’ time and limit the length of the meeting.

In addition to this, can I please formally ask as a shareholder of the company that you send me accounts covering the period 2003 – 2007 (to date)? These have never been received by Trust In Luton, or presented at any board/general meeting, and, as you will be aware, we are entitled to this information.

As a shareholder we would also like to receive a copy of both the Articles of Association of the company and a copy of the Memorandum of Association of the company. I have checked our records and unfortunately we have never received a copy of these either. Can I please ask that you send these to the address above
in the next 14 days?

Finally, I would like to arrange a time for a Trust In Luton appointed representative to view the following for the company:

• minute book

• register of charges

• register of directors interest in shares

• register of debenture holders

• all directors service agreements (those with 12 or more months to run or those that cannot be terminated without compensation)

• register of directors, secretaries and shareholders

I would like to arrange for this to take place by the end of August 2007.

I look forward to hearing from you in the next 14 days so that we may arrange suitably convenient times for these requests.

Yours Sincerely,

Liam Day
Chairman
Trust In Luton

PS: I will be in touch again by e-mail to request a meeting with you and your new FD and MD to discuss the future of supporters’ representation and how you view the Trust’s role.
